1. Agreement to Terms

By accessing or using Universally’s website, products, or services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, you must stop using our Services immediately. We may update or modify these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.

2. Description of Service

Universally provides a website translation platform that detects and translates your website content in real time using AI-powered machine translation, stores and serves those translations, and offers related tools such as a language switcher, translation management, team workspaces, and integrations including a WordPress plugin. We may add, change, or discontinue features of the Services over time.

3. Account Registration

To access certain features, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account, including the activity of any team members you invite into your workspace. Universally is not liable for any loss or damage resulting from unauthorized use of your account.

4. Subscription Plans & Usage Limits

The Services are offered under different plans, which may include a free plan and paid subscriptions. Each plan includes usage allowances — most notably a monthly translation allowance (word limit) — along with the features described on our pricing page. Allowances reset with each billing period and unused allowance does not carry over.

When your usage reaches your plan’s limit, new or updated content is not translated until the allowance renews, you change your plan, or an automatic upgrade occurs (see Section 7). Existing translations continue to be served to your visitors. We may also offer optional add-ons, billed together with your subscription.

5. Licensing & Usage

Your subscription grants you a limited, non-exclusive, non-transferable license to use Universally according to your selected plan. You may not resell, redistribute, reverse-engineer, or misuse the Services. Violating these conditions may result in suspension or termination of your account.

6. Payments & Renewals

Subscriptions are billed on a recurring basis (monthly or yearly) based on your chosen plan. By subscribing, you authorize us to charge your payment method for recurring renewals until you cancel. Your authorization also covers charges resulting from automatic plan upgrades, as described in Section 7.

All payments are processed by Stripe, a secure third-party payment provider. Universally does not store your full card details on its own servers; your payment information is collected and processed by Stripe in accordance with Stripe’s terms and privacy policy.

Prices are listed exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes (such as VAT or sales tax), which may be added at checkout based on your billing information. Prices may change; changes take effect at your next renewal, and we will notify you of adjustments when required.

If a renewal payment fails, we may retry the charge and we may suspend or limit paid features until payment is completed.

7. Automatic Plan Upgrades

Each Universally plan includes a monthly translation allowance (word limit). When your usage reaches the limit of your current plan, new or updated content on your website can no longer be translated until the allowance renews or the plan is changed. To prevent this interruption, Universally may automatically upgrade your subscription to the next available plan tier when you reach your plan’s word limit.

Automatic upgrades exist to keep your website’s translations continuous: your visitors keep seeing your content in their language, newly published content continues to be translated, and your translated pages remain available to search engines — so the indexing and rankings you have built for your translated pages are not disrupted by a temporary usage cap.

When an automatic upgrade occurs:

• Your subscription moves to the next plan tier only — we never skip tiers or move you to a more expensive plan than the next one available.
• The price difference is charged to the payment method on file for your account, prorated from the date of the upgrade, and your existing billing cycle (monthly or yearly) is unchanged.
• We send you an email confirmation with your new plan details immediately after the upgrade.
• At most one automatic upgrade is processed per account within any 30-day period.

Automatic upgrades never downgrade your plan. You remain free to change or cancel your plan at any time from your account dashboard.

If no valid payment method is on file, or a charge cannot be completed, no upgrade takes place; translation of new content simply pauses at your current plan’s limit, existing translations continue to be served, and we notify you that your limit has been reached.

Automatic upgrades are enabled by default. If you prefer that your plan is never changed automatically, you can opt out at any time by contacting us at [email protected]. If you have any questions about an automatic upgrade on your account, contact us at the same address.

8. Refund Policy

Universally offers a 14-day money-back guarantee on new purchases. Refunds requested after 14 days are not eligible. Refunds do not apply to renewals, upgrades, lifetime deals, or accounts terminated for policy violations. Approved refunds are issued to the original payment method.

9. Your Content & Translations

You retain all rights to the content of your website and to the translations generated from it. You grant Universally a limited, worldwide license to store, process, cache, and serve your content and its translations solely for the purpose of providing the Services to you.

You are solely responsible for the content you submit for translation, including ensuring that you hold all necessary rights to it and that it is lawful. We may remove translations or suspend service for content that is illegal or infringes the rights of others.

10. Machine Translation Disclaimer

Translations are generated automatically by AI translation models, which may include models operated by third-party providers that process your content solely to produce translations. Machine translation may contain inaccuracies, awkward phrasing, or errors of nuance and context. Translations are provided “as is,” and you are responsible for reviewing them — you can review and edit any translation from your dashboard. For content where precision is critical (such as legal, medical, or financial information), we recommend human review before publication.

11. Acceptable Use

You agree not to use the Services to translate, store, or distribute content that is unlawful, infringing, or harmful; to interfere with or disrupt the Services or their infrastructure; to circumvent usage limits, API restrictions, or security measures; or to use your subscription for websites other than those registered under your plan. We may suspend or terminate accounts engaged in such activity.

12. Privacy & Data

Our collection and use of personal data is described in our Privacy Policy. Website content you submit is processed for the purpose of producing and serving translations, and payment details are handled by Stripe as described in Section 6.

If you cancel your subscription or your account is terminated, your stored data — including translations — may be permanently deleted after a reasonable period. If you need a copy of your translations, contact us at [email protected] before closing your account.

13. Third-Party Services

Our Services may integrate with third-party platforms such as WordPress, hosting providers, or payment processors. Universally is not responsible for the actions, availability, or performance of any third-party services. Your use of third-party tools is entirely at your own risk.

14. Warranties Disclaimer

Universally is provided on an “as is” and “as available” basis. We make no warranties regarding uninterrupted service, accuracy of translations, compatibility with all systems, or that our Services will be error-free. Your use of the Services is at your sole risk.

15. Limitation of Liability

To the maximum extent permitted by law, Universally will not be liable for any indirect, incidental, or consequential damages, including loss of data, revenue, profits, or website performance issues. Our total liability for any claim will not exceed the amount paid by you in the past 12 months.

16. Indemnification

You agree to indemnify and hold Universally harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services in violation of these Terms, from the content you submit for translation, or from your infringement of any third-party rights.

17. Termination

We may suspend or terminate your account if you violate these Terms, misuse the Services, or fail to comply with payment obligations. You may terminate your subscription at any time through your account dashboard. Termination does not guarantee refunds, and stored data may be deleted as described in Section 12.

18. Governing Law

These Terms are governed by the laws of the United States without regard to conflict of law principles. Any disputes will be handled in the courts of that jurisdiction.

19. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right under these Terms is not a waiver of that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Universally regarding the Services.
