Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") govern the use of the Tyconix platform, SDK, APIs, dashboard, and related services (collectively, the "Service") provided by Tyconix LLC ("Tyconix," "we," "us," or "our").
By creating an account, integrating our SDK, or otherwise accessing the Service, you ("Client," "you," or "your") agree to be bound by these Terms. If you are agreeing on behalf of a company or organization, you represent that you have authority to bind that entity.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
Tyconix provides a predictive player intelligence platform that enables game studios to:
- Integrate a client SDK into their game or application to transmit behavioral telemetry
- Configure predictive Signals (e.g., churn risk, engagement patterns, behavioral profiles) through a web dashboard
- Receive those Signals in real time via SDK callbacks and webhook delivery
- Access aggregated analytics and player behavioral data through the dashboard
The Service is provided on a subscription basis with tiered plans as described on our pricing page.
2.1 Content Moderation (Optional Add-On)
Tyconix offers an optional content moderation feature as a separate product. This feature utilizes a third-party AI provider (OpenAI) to analyze player-generated text. Enabling this feature requires separate acceptance of the applicable terms and is subject to additional usage-based pricing. See our Privacy Policy for data processing details.
3. Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials and API keys
- All activity that occurs under your account
- Notifying us promptly of any unauthorized access
We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.
4. Subscription Plans and Payment
4.1 Plans
The Service is offered under tiered subscription plans, each with defined limits on features, data retention periods, Signal configurations, and usage volumes. Current plan details and pricing are available at https://tyconix.com/pricing.
4.2 Billing
- Subscriptions are billed monthly/annually in advance.
- All fees are stated in US Dollars and are exclusive of applicable taxes.
- Payment is due upon invoice. We accept payment via Paddle.
4.3 Changes to Pricing
We may update pricing for future billing periods with at least 30 days' prior written notice. Price changes do not apply retroactively to the current billing period.
4.4 Overages
If your usage exceeds the limits of your plan, we will notify you and may throttle or suspend delivery of Signals until you upgrade or reduce usage. We will not charge overage fees without prior agreement.
4.5 Refunds
Fees are non-refundable except where required by law or as otherwise stated in a separate written agreement.
5. Intellectual Property and Ownership
5.1 Tyconix IP
Tyconix retains all right, title, and interest in and to the Service, including but not limited to:
- The Tyconix platform, SDK, APIs, and dashboard
- All scoring algorithms, predictive models, behavioral profiling logic, and Signal computation methods
- Aggregated, anonymized, and statistical insights derived from use of the Service across Clients (no individual Client's data is identifiable in such insights)
- All documentation, designs, trademarks, and related materials
Nothing in these Terms transfers ownership of any Tyconix intellectual property to you.
5.2 Client Data Ownership
You retain all right, title, and interest in and to the data you transmit to Tyconix through the SDK or otherwise provide to us ("Client Data"), including all player behavioral telemetry. We claim no ownership over Client Data.
5.3 Aggregate Data
We may generate aggregated, anonymized, and non-identifiable data derived from Client Data for the purpose of improving the Service, developing benchmarks, and refining our predictive models. Such aggregate data will not identify you, your players, or your game. You acknowledge and agree that Tyconix owns all aggregate data.
5.4 Feedback
If you provide suggestions, feature requests, or other feedback about the Service, we may use it without restriction or obligation to you.
6. SDK License
6.1 License Grant
Subject to these Terms, Tyconix grants you a limited, non-exclusive, non-transferable, revocable license to integrate and use the Tyconix SDK solely within your games and applications for the purpose of transmitting data to and receiving Signals from the Service.
6.2 Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the SDK or any part of the Service
- Sublicense, resell, or redistribute the SDK as a standalone product
- Use the SDK to build a competing product or service
- Modify the SDK except as documented in our integration guides
- Remove or alter any proprietary notices in the SDK
7. Client Obligations
7.1 Lawful Data Collection
You are solely responsible for ensuring that all data transmitted to Tyconix through the SDK is collected lawfully, with appropriate disclosures to and consents from your users as required by applicable law. This includes but is not limited to compliance with GDPR, CCPA, and other data protection regulations in your jurisdiction.
7.2 Children's Data (COPPA)
If your game or application is directed at or accessible to children under the age of 13, you must:
- Implement appropriate age-gating or parental consent mechanisms before transmitting any data to Tyconix
- Comply with the Children's Online Privacy Protection Act (COPPA) and equivalent laws in your jurisdiction
- Not transmit data from users known to be under 13 without verifiable parental consent
Failure to comply with this section constitutes a material breach of these Terms.
7.3 Prohibited Content
You may not use the Service to process data that contains, or that you have reason to believe contains:
- Personally identifiable information of players beyond what is necessary for the Service (e.g., do not transmit real names, email addresses, or government IDs through the SDK)
- Content that is illegal, defamatory, or violates third-party rights
- Data obtained through unauthorized access to any system
7.4 Acceptable Use
You may not use the Service to:
- Harass, surveil, or discriminate against individual players
- Manipulate players in ways that violate applicable consumer protection laws
- Interfere with or disrupt the Service or its infrastructure
8. Data Processing
Our collection, use, and processing of data in connection with the Service is described in our Privacy Policy. For Clients requiring a formal Data Processing Agreement, one is available upon request and will be incorporated into these Terms by reference.
Data retention periods are configurable within the limits of your subscription plan and are managed through the dashboard.
9. Service Availability
9.1 Uptime
We use commercially reasonable efforts to maintain the availability of the Service. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance when possible.
9.2 Modifications to the Service
We may update, modify, or discontinue features of the Service at any time. For material changes that affect your integration, we will provide at least 30 days' notice.
9.3 Support
Support is provided according to the terms of your subscription plan. Current support response times and channels are described on our pricing page.
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TYCONIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Predictive Signals and behavioral profiles are probabilistic outputs based on available data. Tyconix does not guarantee the accuracy, completeness, or reliability of any Signal or prediction.
10.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TYCONIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
10.3 Cap on Liability
TYCONIX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TYCONIX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Tyconix and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your collection, transmission, or use of player data in violation of applicable privacy laws
- Any claim by a third party related to your use of the Service
12. Term and Termination
12.1 Term
These Terms remain in effect for as long as you have an active Tyconix account.
12.2 Termination by Client
You may cancel your subscription and terminate your account at any time through the dashboard or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused time.
12.3 Termination by Tyconix
We may suspend or terminate your access to the Service immediately if:
- You materially breach these Terms (including failure to pay, COPPA violations, or prohibited use)
- You fail to cure a breach within 15 days of written notice
- Continued provision of the Service to you would violate applicable law
12.4 Effect of Termination
Upon termination:
- Your license to use the SDK is immediately revoked
- You must cease all use of the Service and remove the SDK from your applications
- We will delete all Client Data associated with your account within 30 days, unless a longer retention period is required by law
- Upon request made within 14 days of termination, we will provide an export of your Client Data in a standard machine-readable format
13. Miscellaneous
13.1 Governing Law
These Terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict of law principles.
13.2 Dispute Resolution
Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Wisconsin.
13.3 Entire Agreement
These Terms, together with the Privacy Policy, any applicable Data Processing Agreement, and any order forms or service agreements, constitute the entire agreement between you and Tyconix regarding the Service.
13.4 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
13.5 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
13.6 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
13.7 Notices
Notices under these Terms must be sent by email to the addresses on file. Notices to Tyconix should be sent to [email protected].
